1. Acceptance of Terms

By accessing or using The Plug HQ (the "Service"), operated by Promoat Holdings LLC ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Service. The Service is available at theplughq.com and app.theplughq.com.

2. Description of Service

The Plug HQ is an AI-powered platform that helps businesses and individuals monitor trends in their industry, generate content, create resources (e-books, guides, courses, etc.), and find relevant conversations to engage with. The Service uses third-party AI providers (Anthropic, OpenAI, and Google) to power its features.

3. Account Registration

To use The Plug HQ, you must create an account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must be at least 13 years of age to use the Service. If you are under 18, you must have the consent of a parent or legal guardian.

4. Workspaces and Team Access

The Plug HQ supports multi-user workspaces. Workspace owners can invite members and manage access. You are responsible for ensuring that anyone you invite to your workspace complies with these Terms. Workspace owners are responsible for the content generated and stored within their workspace.

5. API Keys and Third-Party Services

The Plug HQ allows you to use your own API keys from supported AI providers (Anthropic, OpenAI, Google). By providing your API key, you authorize us to make API calls on your behalf using that key. You are responsible for any charges incurred by your API provider as a result of usage through The Plug HQ.

We are not responsible for the availability, accuracy, or content generated by third-party AI providers. AI-generated content should be reviewed by you before publishing or sharing.

6. Content Ownership and License

Your Content: You retain ownership of any content you create, upload, or generate through The Plug HQ. This includes business descriptions, generated articles, social posts, e-books, guides, and any other materials.

License to Us: By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content as necessary to provide the Service. We will not sell, share, or use your content for any purpose other than operating and improving The Plug HQ.

AI-Generated Content: Content generated by AI through The Plug HQ is provided to you for your use. You are responsible for ensuring that any AI-generated content you publish complies with applicable laws and does not infringe on third-party rights. AI outputs may not always be accurate, and you should review all generated content before use.

7. Acceptable Use

You agree not to use The Plug HQ to:

Generate or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.

Violate any applicable laws or regulations.

Impersonate any person or entity, or falsely claim an affiliation.

Attempt to gain unauthorized access to the Service, other user accounts, or any related systems.

Interfere with or disrupt the Service or its infrastructure.

Use automated means (bots, scrapers) to access the Service beyond its intended functionality.

Resell or redistribute the Service without our written permission.

8. Service Availability and Modifications

We strive to keep The Plug HQ available and reliable, but we do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMOAT HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Promoat Holdings LLC and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including if we believe you have violated these Terms. You may also delete your account at any time. Upon termination, your right to use the Service will immediately cease. Sections regarding ownership, disclaimers, limitations of liability, and indemnification shall survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in the State of Delaware.
